The GoSave service and network (collectively, “GoSave” or “the Service”) are operated by GoSave, Inc. and its corporate affiliates (collectively, “us”, “we” or “the Company”). By accessing or using our website at www.gosave.com (the “Site”), you (the “User” or “Member”) signify that you have read, understand and agree to be bound by these Terms & Conditions (“Terms & Conditions” or “Agreement”), whether or not you are a registered member of GoSave. We reserve the right, at our sole discretion, to change, modify, add, or delete portions of these Terms & Conditions on this page and will indicate at the top of this page the date these terms were last revised. Your continued use of the Service or the Site after any such changes constitutes your acceptance of the new Terms & Conditions. Eligibility
Membership in GoSave is void where prohibited. Members must be 18 years of age. Members are expected to reside in the United States; or if not in the United States, to accept payments through PayPal in U.S. Dollars (USD). Members are expected to have a functional internet connection that enables them to log onto the Internet, visit online stores, and check email. Members are expected to have a computer with appropriate enabled technology (including, but not limited to, Java, cookies, flash, anti-virus security, etc). Any registration by, use of or access to the Site by anyone under 18 is unauthorized, unlicensed and in violation of these Terms & Conditions. Any registration by, use of or access to the Site by anyone who resides outside the United States and cannot receive PayPal payments in USD is unauthorized, unlicensed and in violation of these Terms & Conditions. By using the Service or the Site, you represent and warrant that you are 18 or older and that you agree to and abide by all of the terms and conditions of this Agreement.

Registration Data
In consideration of your use of the Site, you agree to (a) provide accurate, current and complete information about you as may be prompted by any registration forms on the Site (“Registration Data”); (b) maintain the security of your password and identification; (c) maintain and promptly update the Registration Data, and any other information you provide to GoSave, to keep it accurate, current and complete; and (d) be fully responsible for all use of your account and for any actions that take place using your account.

Member Responsibilities
You are responsible for maintaining complete and accurate account information, including email address, PayPal payment address and/or mailing address, and password. The User is responsible for the security of your password and login email address. GoSave is not responsible for any changes made to your account by someone who uses your email address and password to access the Site.

Content
GoSave provides a number of different services to assist you in shopping for products and services on the Site. GoSave is paid by merchants or other third parties when a User makes a purchase at a merchant after following the store links from GoSave. GoSave receives a commission or percentage of sale on each valid purchase made by a User. GoSave keeps a portion of this commission as profit and provides the rest to the User as a cash back reward. GoSave reserves the right to change the displayed cash back percentages at specific merchants at any time.

GoSave does not sell, resell or license any of the products listed on the Site or sold through merchants or other third parties, nor is GoSave acting as an agent of sale, and GoSave disclaims any responsibility for, or liability related to, such products and services. Any questions, complaints or claims related to any product should be directed to the appropriate merchant or seller.

GoSave is not responsible for the content on other merchant or third-party websites. Gosave maintains affiliate relationships with these other merchants or third-party websites. GoSave reserves the right to cancel or suspend our relationship with a merchant or third party website at any time.

GoSave does not warrant that store descriptions, product descriptions, pricing, editorial commentary or any other content on the Site, regardless of its source, is accurate, complete, reliable, current or error-free. Site content is provided for informational purposes only and does not constitute an endorsement by GoSave of any product, merchant, seller, service, or any reviews or comments thereof regardless of the source of such review or comment. GoSave assumes no liability for inaccuracy or incompleteness in its search results, editorial content, user ratings or other content on the Site.

Others Businesses and Links to Other Sites
The Site contains links to the sites of third-party merchants, affiliated companies, co-brand partners and other parties. These links are provided solely as a convenience to you and do not constitute an endorsement by GoSave of the content of such third-party sites nor the business practices of such other businesses, entities or individuals. GoSave is not responsible for examining, investigating, or evaluating, and does not warrant or claim responsibility in any way, the products, services, offerings or business practices of any of these businesses, entities or individuals or the content of their website. You should carefully review the privacy statements and other conditions of use at third-party websites. If you decide to leave the Site and access merchants or third-party sites, you do so at your own risk and you should be aware that our terms and policies no longer govern.

GoSave has no control over the business practices of any third-party merchant or seller, nor does it control in any way the quality, safety or legality of any item listed on the Site or any business transaction that occurs as a result of products listed on the Site.

If you are a California resident, by using the Site, you explicitly waive the rights granted to you under California Civil Code 1542, which states: “A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which, if known by him must have materially affected his settlement with the debtor.”

Purchases
A qualifying or valid purchase transaction is one in which (a) the User logs into GoSave and follows the links to make a purchase at a merchant or third-party website; (b) the User completes the purchase at the merchant or third-party website; (c) the merchant or third-party website reports the purchase to GoSave. GoSave is not responsible for a User’s failure to follow any of the aforementioned steps to complete a valid purchase.

Purchase Disputes
GoSave is not responsible for any problems with purchases made through GoSave at merchants or third-party websites. This includes, but is not limited to, the damage of ordered products, errors in payment processing or payment charges, or differences between the ordered product and received product. The User must contact the merchant for resolving these disputes.

GoSave is not responsible for cash back payments on any purchases that have not been reported as valid transactions by merchants or third-party websites. If you believe you accurately followed the steps described above in “Purchases” to make a valid transaction, but have still not been credit your cash back, then contact GoSave through the “Contact Us” link featured at the bottom of every page on the Site.

In the event of a dispute between you and a merchant listed on the Site, to the maximum extent permitted by applicable law, you release GoSave, its subsidiaries, affiliates, co-brand partners or other third parties under contract with GoSave, and their respective officers, directors, employees, agents, and legal representatives from and against claims and damages of any kind, known and unknown, suspected and unsuspected, disclosed and undisclosed, arising out of or in any way connected with such a dispute.

Payment Method
All payments must be sent electronically through PayPal or by check through the U.S. Post Office. Users are required to have a valid and current account with PayPal to receive payments, and to ensure this PayPal account information is current in your GoSave account. Users are required to have a valid and current mailing address to receive check payments, and to ensure this mailing address information is current in your GoSave account. All payments, PayPal or check, will be sent in U.S. Dollars (USD) currency. Users residing outside the United States must receive payments through PayPal.

Payments
All payments, PayPal or check, will be sent in U.S. Dollars currency. Users can request payments once the User’s cash back available reaches at least $10.00. Cash back earnings become available once the return time on that purchase has passed. Return times vary depending on the merchant. After the return time expires, your cash back will be credited to your account and your cash back will be available for payment. GoSave is not responsible for any event beyond the control of GoSave that would prevent a User from receiving a payment. Such an event includes, but is not limited to, lost mail or an error in your submitted payment information.

Inactivity
Any user who has cash back in his/her account, but has not logged in to GoSave for 365 days, forfeits his/her cash back.  The cash back will then be considered property of GoSave and cannot be reclaimed by the user.

Copyrights and Trademarks
The term “gosave” is a registered trademark of GoSave, and the GoSave logo and marks are trademarks of GoSave. Other company graphics, logos, designs, page headers, button icons, scripts and service names are registered trademarks, trademarks or trade dress of GoSave in the U.S. and/or other countries. GoSave’s trademarks and trade dress may not be used, including as part of trademarks and/or as part of domain names, in connection with any product or service in any manner that is likely to cause confusion and may not be copied, imitated, or used, in whole or in part, without the prior written permission of the Company.

All content, graphics, format, design, the user interface and other copyrighted material on the Site (collectively, “materials”) are protected by copyright law and other intellectual property laws, and are owned by GoSave. GoSave reserves the right to change any and all content, software and other items used or contained in the Site at any time without notice. References to any products, merchants, services, processes or other information, by trade name, trademark, manufacturer, supplier or otherwise does not constitute or imply endorsement, sponsorship or recommendation thereof.

Limitation on Liability
In no event will GoSave or its directors, employees or agents be liable to you or any third person for any indirect, consequential, exemplary, incidental, special or punitive damages, including for any lost profits or lost data arising from your use of the site or the service, any platform applications or any of the site content or other materials on, accessed through or downloaded from the site, even if the company is aware or has been advised of the possibility of such damages.

Termination
GoSave may terminate your membership, delete your profile and any content or information that you have included on the Site and/or prohibit you from using or accessing the Service or the Site for any reason, or no reason, at any time in the Company’s sole discretion, with or without notice, including if it believes you are under 18.

Governing Law; Venue and Jurisdiction
By visiting or using the site and/or the Service, you agree that the laws of the State of Delaware, without regard to principles or conflict of laws, will govern these Terms & Conditions and any dispute of any sort that might arise between you and the Company or any of our affiliates.

Indemnity

Submissions
You acknowledge and agree that any questions, comments, suggestions, ideas, feedback or other information about the Site or the Service (“Submissions”), provided by you to GoSave, are non-confidential and shall become the sole property of GoSave. Company shall own exclusive rights, including all intellectual property rights, and shall be entitled to the unrestricted use and dissemination of these Submissions for any purpose, commercial or otherwise, without acknowledgment or compensation to you.

Other
These Terms & Conditions constitute the entire agreement between you and Company regarding the use of the Site and/or the Service, superseding any prior agreements between you and Company relating to your use of the Site or the Service. The failure of Company to exercise or enforce any right or provision of these Terms & Conditions shall not constitute a waiver of such right or provision in that or any other instance. If any provision of this Agreement is held invalid, the remainder of this Agreement shall continue in full force and effect. If any provision of these Terms & Conditions shall be deemed unlawful, void or for any reason unenforceable, then that provision shall be deemed severable from these Terms & Conditions and shall not affect the validity and enforceability of any remaining provisions.

Modifications
GoSave may modify this agreement at any time, with or without notification to the User. It is the responsibility of the User to check for modifications to this Agreement. If you do not agree to abide by these or any future Terms & conditions, do not use or access (or continue to use or access) the Service or the Site.
